These Terms of Service ("Terms") govern your access to and use of the services provided by Zidra AI, Inc. ("Zidra," "we," "us," or "our"), including the Zidra platform, website, and any related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Zidra provides an AI-powered conversational assistant designed for construction companies. The platform connects to third-party tools (such as accounting software, project management platforms, and scheduling applications) to enable users to query data, create records, and manage workflows through natural language.

3. Account Registration

To use certain features of the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Authorized Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Services
  • Use the Services to transmit harmful code or interfere with the platform
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to compete with Zidra or to build a similar product
  • Share your account credentials with unauthorized third parties

5. Third-Party Integrations

The Services allow you to connect third-party applications. By connecting a third-party service, you authorize Zidra to access and retrieve data from that service on your behalf, in accordance with the permissions you grant.

You are responsible for ensuring that your use of third-party services through Zidra complies with the terms of service of those third-party providers. Zidra is not responsible for the availability, accuracy, or reliability of third-party services.

6. Data Ownership

You retain all rights to your data. Zidra does not claim ownership of any data you submit to or retrieve through the Services. We process your data solely to provide and improve our Services, as described in our Privacy Policy.

Data from your connected third-party services remains your property and is stored in isolation from other customers' data. You may request deletion of your data at any time.

7. AI-Generated Output

Zidra uses artificial intelligence to process your queries and generate responses. While we strive for accuracy, AI-generated output may occasionally contain errors or inaccuracies. You should verify important information independently before making business decisions based on Zidra's output.

Zidra is not a substitute for professional financial, legal, or construction advice. We are not responsible for decisions made based on AI-generated responses.

8. Fees and Payment

During the early access period, the Services are provided at no cost. We reserve the right to introduce paid plans in the future. If we do, we will provide at least 30 days' notice before any charges apply to your account, and you may cancel at any time.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Services. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Services.

10. Limitation of Liability

To the maximum extent permitted by law, Zidra and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Services.

Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Zidra and its affiliates from any claims, damages, losses, and expenses (including reasonable attorney's fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease. You may also terminate your account at any time by contacting us.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in King County, Washington.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
